Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and CampusEAI, Inc., a corporation organized and existing under the laws of the State of Ohio, with its principal place of business at 1940 E 6th Street, Cleveland, Ohio 44114 (“Company,” “we,” “us,” or “our”). 

By accessing, browsing, or using our websites, software, products, and IT services (collectively, the “Services”), you acknowledge that you have read, understood, and agreed to be bound by these Terms and all applicable laws and regulations. If you do not agree with any part of these Terms, you must not access or use the Services. 

 

  1. Acceptance of Terms

By using the Services, you affirm that: 

  • You are at least 18 years of age or otherwise legally competent to enter into a binding Agreement; 
  • You have the authority to enter into these Terms on behalf of yourself or the entity you represent; 
  • You shall comply with all applicable local, state, federal, and international laws. 

 

  1. Scope of Services

CampusEAI, Inc. provides the following categories of Services: 

  • Software Solutions: Including, but not limited to, AI-driven chatbots, Single Sign-On (SSO) platforms, and other cloud-based applications;  
  • IT Managed Services: Including ongoing technical support, infrastructure monitoring, and professional IT consulting; 
  • User Access Platforms: Such as web-based portals, APIs, dashboards, and related integrations. 

The features and availability of Services may vary depending on your subscription, user role, or service-level agreement (SLA). 

 

 

  1. User Accounts and Security

Certain features of the Services may require user registration or authentication through an SSO framework. By registering, you agree to: 

  • Provide complete, accurate, and up-to-date information; 
  • Maintain the confidentiality of your login credentials; 
  • Notify the Company immediately upon any suspected unauthorized access or misuse of your account. 

You are solely responsible for any activities conducted under your account. The Company shall not be liable for any losses resulting from unauthorized access due to your failure to safeguard credentials. 

 

  1. Acceptable Use

You agree to use the Services strictly for authorized and lawful purposes. You shall not: 

  • Use the Services in violation of any applicable law; 
  • Engage in unauthorized access, data scraping, or circumvention of security features; 
  • Attempt to reverse engineer, modify, or create derivative works from the Services; 
  • Disrupt or interfere with the integrity or performance of our systems or third-party networks. 

Violation of this section may result in immediate suspension or termination of access without notice. 

 

  1. Intellectual Property Rights

All intellectual property rights in the Services, including but not limited to software, source code, designs, logos, and content, are owned or lawfully licensed by CampusEAI, Inc. 

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Services solely in accordance with these Terms. You shall not copy, reproduce, distribute, or commercially exploit any portion of the Services without prior written consent. 

 

 

  1. Privacy and Data Protection

Our data handling practices are governed by our Privacy Policy, which is incorporated into these Terms by reference. 

By using our Services, you consent to the collection, processing, and use of your personal information as described in the Privacy Policy, including: 

  • Types of data collected; 
  • Purposes and legal bases for processing; 
  • Data retention and user rights under applicable privacy regulations (e.g., CCPA, GDPR). 

 

  1. Third-Party Services and Integrations

Our Services may integrate with or provide access to third-party platforms (e.g., Microsoft, Google, Zoom). These third-party services are governed by their own terms and privacy policies, and CampusEAI, Inc. disclaims any liability related to their use, performance, or data handling. 

 

  1. Disclaimer of Warranties

The Services are provided on an “as is” and “as available” basis, without any warranties of any kind, express or implied. 

We make no representations or warranties that: 

  • The Services will be uninterrupted, error-free, or secure; 
  • The Services will meet your specific requirements; 
  • Data processed or delivered through the Services will be accurate or timely. 

To the maximum extent permitted by applicable law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. 

 

  1. Limitation of Liability

To the fullest extent permitted by law: 

  • CampusEAI, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, business interruption, or loss of profits; 
  • In no event shall our total cumulative liability, whether in contract, tort, or otherwise, exceed the amount paid by you to us for the Services during the six (6) months preceding the claim. 

 

  1. Indemnification

You agree to defend, indemnify, and hold harmless CampusEAI, Inc., its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or relating to: 

  • Your use or misuse of the Services; 
  • Your violation of these Terms; 
  • Your infringement of any third-party rights, including intellectual property or privacy rights. 

 

  1. Termination

CampusEAI, Inc. may suspend or terminate your access to the Services, in whole or in part, at any time and for any reason, including breach of these Terms, without prior notice. 

Upon termination, all rights granted to you shall immediately cease, but sections relating to intellectual property, indemnity, disclaimers, limitation of liability, and governing law shall survive. 

 

  1. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law provisions. 

All legal proceedings arising out of or relating to these Terms shall be exclusively brought in the state or federal courts located in Ohio, and you hereby consent to the personal jurisdiction and venue of such courts. 

 

  1. Modifications to Terms

We reserve the right to modify or update these Terms at any time. Material changes will be communicated through appropriate channels (e.g., email, Service notice). Your continued use of the Services after such changes constitutes your acceptance of the revised Terms.
